Visas In Portugal Affiliate Agreement

These Terms and Conditions constitute a legally binding Agreement between Visas In Portugal (“We,” “Us,” “Our”) and you (“You,” “Your”). By checking the box below stating that You have read and agree to the terms and conditions of this Agreement, You agree to be bound by the terms and conditions of this Agreement for as long as You continue to promote, market, advertise, and distribute (“Promote,” “Promoting,” “Promotion”) products within Visas In Portugal, or until such time that the Agreement is terminated by either party.

By agreeing to these terms, You confirm Your compliance with all the terms and conditions stated below, as well as all applicable laws, regulations, and rules.

1. Promotion of Products

If You Promote products within Visas In Portugal for the purpose of earning a percentage of the sale price (“Commission”), You agree, represent, and warrant that:

1.1 Compliance with Intellectual Property Rights

You will not make any unlicensed or unauthorized use of any materials protected by any patent, copyright, trademark, trade secret, right of privacy, or other intellectual property or proprietary rights.

1.2 Restrictions on Messaging

You will not send, or cause to be sent, any messages or communications by electronic means, including but not limited to email or instant messages, in connection with the Promotion of products within Visas In Portugal:

(a) To any person who has not explicitly requested to receive such messages specifically from You, including for purposes such as spamming any public forum.

(b) To any person who has explicitly requested not to receive further communications from You.

(c) That employ false or deceptive information or fail to include accurate information regarding Your identity, or regarding the intent, subject, or origin of the message.

1.3 No Marketing to Minors

You will not send any commercial marketing emails or Promotions to, or collect personally identifiable information from, any person under the age of 18.

1.4 Accurate Representations

You will provide accurate representations in Promoting products within Visas In Portugal, including clear and conspicuous disclosures to prevent Promotions from being false or deceptive.

1.5 No Unauthorized Incentives

You will not offer, suggest, or imply the availability of any coupons, rebates, or similar incentives without prior written permission from Us. Nor will You suggest or imply any warranty, guarantee, or policy not provided by Us.

2. Commissions

2.1 Payment Basis

Commissions will be paid based on successful transactions, defined as non-fraudulent, non-refunded payments with all instalments paid in full by a customer who has Your affiliate ID recorded as their referrer.

2.2 Commission Amount

The Commission amount payable to You will be in accordance with the percentages outlined in the Campaign Description.

2.3 Changes to Commission

We reserve the right to modify Commission rates at any time without prior notice. You will be notified of changes via the contact details provided, and Your continued Promotion of products will signify acceptance of the updated rates.

2.4 Payment Method

Commissions will be paid exclusively through PayPal. A valid PayPal email address must be provided; otherwise, any Commission payments owed will be forfeited.

2.5 Withholding Period

We reserve the right to withhold Commission payments until any money-back guarantee or refund period has elapsed.

2.6 Cancellation of Commissions

We may cancel Commissions for reasons including, but not limited to:

• • • Fraudulent orders
    • Customer cancellations
    • Refunds
    • Improperly earned Commissions

Cancelled Commissions cannot be reinstated.

2.7 Minimum Payment Threshold

Commissions will only be paid once the Minimum Payment Threshold specified in the Campaign Description is met.

2.8 Tax Requirements

US citizens must provide a Tax ID to receive Commission payments.

3. Our Rights

3.1 Amendments to Agreement

We may modify this Agreement at any time without prior notice. Updates will be communicated via Your provided contact details and posted in the Campaign Description.

3.2 Review of Promotions

We reserve the right to review Your Promotions and demand changes to any content related to Your Promotion of products.

4. Suspension/Termination

4.1 Grounds for Suspension/Termination

We may suspend or terminate this Agreement without prior notice for reasons including, but not limited to:

• • • Breach of Agreement terms
    • Involvement in illegal activities

4.2 Review and Liquidated Damages

We reserve the right to review Your account and Promotional content and may withhold funds in Your account if misconduct is suspected.

4.3 Ownership of Content

Upon termination, We may assume ownership of any content related to Your Promotions hosted on Our servers or in Our possession.

5. Confidentiality and Non-Disclosure

5.1 Definition of Confidential Information

Confidential Information includes:

• • • Intellectual property
    • Trade secrets
    • Customer details
    • Financial data
    • Employee information

5.2 Obligation to Maintain Confidentiality

You agree to maintain the confidentiality of all such information and to use it solely for the purpose of Promoting products within Visas In Portugal.

5.3 Prohibition of Reverse Engineering

You will not reverse engineer or attempt to access source materials of Our software or related tools.

6. Representations and Warranties

You warrant that Your Promotions will not:

• Infringe any intellectual property rights
• Violate any privacy or publicity rights
• Contravene applicable laws or regulations

7. Indemnification

You agree to indemnify and hold Us and Our affiliates harmless from any claims or damages arising from Your breach of this Agreement.

8. Limitation of Liability

We provide Our services on an “as is” basis and disclaim all implied warranties. In no event shall Our liability exceed the total Commissions payable to You for the preceding month.

By agreeing to this Affiliate Agreement, You acknowledge that You have read, understood, and agreed to its terms and conditions.
